Contest Rules For New York Yankees Ticket Giveaways

Note: each winner must have or create a Ticketmaster account associated with the email address used to participate in the Promotion in order to receive their prize.

1. ELIGIBILITY: The Momentum Solar Sweepstakes (“Promotion”) is open to any legal United States residents of Connecticut, New Jersey, and New York, and who are eighteen (18) years of age or older at the time of Promotion registration. Employees of Momentum Solar, LLC (“Sponsor” & “Administrator”) their respective parent companies, affiliates, subsidiaries, advertising, and fulfillment and marketing agencies and employees, officers, directors, agents, administrators, and representatives of the MLB Entities, and the MLB Entities’ affiliates, and subsidiaries, and its advertising and promotion agencies, and each of their respective parents, subsidiaries, and affiliates (collectively, “Promotion Parties”) their immediate families (parent, child, sibling & spouse and their respective spouses, regardless of where they reside) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Promotion. By participating, you agree to these official rules (“Official Rules”) and to the decisions of the Sponsor, which are final and binding in all respects. Void outside of Connecticut, New Jersey, and New York, and where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply. The Promotion contains a sweepstakes (“Sweepstakes”).

   “MLB Entities” means the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”) including for the avoidance of doubt, New York Yankees Partnership, each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities.

2. TIMING: The Promotion begins at 12:00:00 p.m. Eastern Time (“ET”) on June 1, 2024, and ends at 11:59:59 a.m. ET on September 1, 2024 (“Promotion Period”). The computer clock of Administrator is the official time-keeping device in the Promotion.
   
   
3. HOW TO PARTICIPATE: There are two (2) ways to participate:
   

   i) Attend a New York Yankees home game and sign up at the Momentum Solar table or visit MomentumSolar.com/Yankees (the “Website”), during the Promotion Period and complete a sales demonstration at participant’s residence with a Momentum Solar Sales Representative to receive one (1) entry; or
   ii) To enter without completing a sales demonstration, entrants can email myinstall@momentumsolar.com and provide First and Last Name, Zip Code, Email Address, and Phone Number and mention the “New York Yankees Sweepstakes” in your email to receive one (1) entry.

    

4. WINNER NOTIFICATION: The potential Sweepstakes winner will be notified by email and/or phone and/or SMS text messaging within three (3) business days of winner selection or as soon as reasonably practicable. Notification is deemed to have occurred immediately upon sending of an email or placing of a phone call or text message.  Winner consents to be contacted via these methods regardless of having registered for any federal or state do-not-call list. Unclaimed or unawarded prizes will remain un-awarded. The Promotion Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email or other account to receive messages. The potential winner of the Prize will be required to sign and submit a declaration of eligibility/liability release and a publicity release (collectively, the “Declaration”) and return it within twenty-four (24) hours of notification before being eligible to receive his or her prize. Additionally, the Promotion Parties reserve the right to conduct background checks on the potential Prize winner and the potential Prize winner’s guests, as a condition to receipt of the Prize. Prize winner and Prize winner’s selected guests must first submit to such background check and cooperate with Sponsor in any way that Sponsor requests in order to be eligible to receive the Prize. The Promotion Parties reserve the right, in their sole discretion, to disqualify any Prize winner and/or Prize winner’s guest(s) based on such background check if Sponsor determines, in its sole discretion, the background check reveals information that is inconsistent with the positive images and/or goodwill to which the Promotion Parties wish to associate (which may be determined at the Promotion Parties’ sole and absolute discretion). If any potential winner fails or refuses to sign and return the Declaration or any other required documentation within the required time period or if the prize or prize notification is returned as rejected, faulty, unclaimed or undeliverable to such potential winner, potential prize winner may be disqualified and an alternate may be selected. Non-compliance shall result in disqualification and may result in award to an alternate winner.

   A potential winner becomes a “winner” only after verification of eligibility by Sponsor. If such potential winner cannot be contacted within a reasonable time period, if the potential winner is ineligible, if any notification is returned undeliverable, or if the potential winner otherwise fails to fully comply with these Official Rules, he/she/they will forfeit that prize and an alternate winner may be selected from among all remaining entries, up to three (3) alternates, time permitting, after which any prize will remain un-awarded.

   The Promotion Parties are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential winners.

5. PRIZES/PRIZE RESTRICTIONS: The  “Prize” includes the opportunity for the winner and three (3) guests to attend an On-Field Experience prior to a New York Yankees regular season home game (to be determined at Sponsor’s sole discretion and to be provided at or near the time of prize being awarded) and four (4) tickets for winner and the same three (3) guests to the New York Yankees regular season game of the same date. Approximate Retail Value (“ARV”) of Prize: $326.64.

   The “On-Field Experience” shall consist of the Prize winner and three (3) guests (collectively, the “Visitors”) to watch the New York Yankees’ batting practice prior to a New York Yankees regular season home game selected by Sponsor in its sole discretion from a New York Yankees-designated field area. The On-Field Experience will conclude at the end of the New York Yankees’ batting practice, and Visitors may not solicit autographs from any of the New York Yankees’ or opposing club’s players. Prior to participating in the On-Field Experience, each Visitor will be required to execute a waiver and release on a form provided by the New York Yankees Partnership, without which such Visitor will not be permitted to participate in the On-Field Experience. All aspects of the On-Field Experience, including the occurrence thereof and Visitors’ access to the playing field, shall be subject to all MLB rules and regulations (including health and safety protocols) and the New York Yankees Partnership’s policies and procedures – all as in effect at the time of the On-Field Experience.

   Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see yankees.com/ticketback for details. Seat locations at the game/event/exhibition and, unless otherwise stated in the prize description, exact game/event/exhibition date shall be determined in the sole discretion of Sponsor. Winner’s guest(s) must be of legal age of majority in his/her(their) jurisdiction(s) of residence unless accompanied by a parent or legal guardian. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club and may be subject to change. The terms and conditions of the tickets awarded as part of the prize will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Winner and his/her guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the prize; see yankees.com/ballpark for details. Sponsor and the MLB Entities reserve the right to remove or to deny entry to the winner and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Promotion Parties will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game/event/exhibition ticket.

   GENERAL PRIZE RESTRICTIONS: Prize details and availability are subject to change and are subject to Sponsor’s rules and restrictions. In the event that Sponsor is unable to provide a prize or prize component, the Sponsor may elect to provide winners with the approximate value of such item in cash or award an alternate prize of comparable or greater value. Prizes are awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes received, regardless of whether they, in whole or in part, are used. The ARV of the prizes is based on available information provided to Sponsor as of the time these Official Rules are printed and may fluctuate. The value of any prize valued at $600 or more awarded to a winner will be reported for tax purposes as required by law. Each winner of such a prize will be required to provide Sponsor with a valid social security number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 will be issued in the name of winner for the actual value of the prize received. Any unclaimed prize will be forfeited. Prizes, if legitimately claimed, will be awarded. The Promotion Parties are not responsible for and will not replace any lost, mutilated or stolen prizes or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and the Promotion Parties will have no further obligation with respect to that prize or portion of the prize. No more than the stated number of prizes will be awarded. The Promotion Parties are not responsible for and winner will not receive the difference, if any, between the actual value of the prizes at the time of award and the stated ARV in these Official Rules or in any Promotion-related correspondence or material. Administrator will attempt to fulfill all properly-claimed prizes to verified winners approximately one (1) week prior to September 20th, 2024. Winners must have a Ticketmaster account associated with the email address used to register for the Promotion. Tickets will be fulfilled digitally through the Ticketmaster platform.

   Limit of one (1) prize per person/per household. If it is discovered, during prize verification, that you have entered, attempted to enter, or used multiple accounts to enter more than the stated limit, you will be disqualified at the discretion of the Administrator, and/or your entries and game plays will be void. Entries generated by script, macro or other automated means and entries made by any means, which subvert the entry process, are void. All entries become the property of Sponsor and will not be acknowledged or returned. Prizes will be awarded only upon winner redemption, confirmation, verification and final approval by Sponsor. No substitution, transfer of any prize or cash alternative permitted, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if prize, or portion of prize, becomes unavailable.

   Acceptance of a prize constitutes permission to use winner’s name, photograph and likeness for publicity purposes without further compensation in any and all media now known or hereinafter created without territorial restriction (except where prohibited by law). By entering, you agree that Promotion Parties and their respective subsidiaries, affiliates, directors, employees, agents, successors and/or assigns and their advertising and promotional agencies shall have no liability for, and to defend, indemnify, release and hold all such parties harmless from, any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance, possession, use or misuse of prize or participation in this Promotion. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorney’s fees. Sponsor reserves the right, in its sole discretion to terminate, modify, cancel or suspend this Promotion and award the prizes from among all eligible entries received prior to action taken by Sponsor, should fraud, virus, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the sweepstakes. Promotion Parties are not responsible for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature. Sponsor reserves the right at its sole discretion, to disqualify any individual, and all of his/her entries or gameplays, who tampers with the entry process. By entering, you agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules, and you consent to the jurisdiction and venue of the federal, state and local courts located in. Sponsor will be collecting personal data about entrants in accordance with its Privacy Policy. By participating in the Promotion, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

6. RELEASE OF LIABILITY: Promotion Parties shall not be responsible or liable for entries or gameplays that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for entries or gameplays that are late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, or otherwise not in compliance with these Official Rules, and all such entries or gameplays will be disqualified. By participating in the Promotion, you agree: (i) to be bound by these Official Rules and by all applicable laws and all decisions of the Sponsor and Administrator which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to the Official Rules; (iii) to waive all rights to bring any claim, action, or proceeding against any of the Promotion Parties; and (iv) to release, indemnify, defend and hold harmless each of the Promotion Parties and each of their respective officers, directors, employees, agents and representatives, from any liability (including, but not limited to, liability for any property loss, damage, personal injury, bodily injury, death, loss, expense, accident, delay, inconvenience or irregularity, negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury), costs and expenses (including without limitation, reasonable outside attorney’s fees) that may arise in connection with: (a) your participation or inability to participate in the Promotion, (b) typographical errors in the Official Rules or any Promotion promotional materials, (c) acceptance or possession, defects in, use, misuse or inability to use an prize (or any component thereof), (d) any change by any company or any other person providing any of the components of a prize due to reasons beyond any of the Promotion Parties’ control or as otherwise permitted hereunder, (e) any interruptions in or postponement, cancellation, or modification of the Promotion, (f) human error, (g) incorrect or inaccurate transcription, receipt or transmission of any part of the Entry (including, without limitation, the entry information or any parts thereof), (h) any technical malfunctions or unavailability of the Promotion site or any telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by any of the Promotion Parties or by you, (i) interruption or inability to access the sweepstakes, any Promotion-related web pages, or any online service via the internet due to hardware or software compatibility problems, (j) any damage to your (or any third person’s) computer and/or its contents related to or resulting from any part of the Promotion, (k) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (l) any wrongful, negligent, or unauthorized act or omissions on the part of any of the Promotion Parties, or any of their agents or employees, (m) otherwise arising out of or relating to the entrant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance, possession, attendance at, defect in, delivery of, inability to use, use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry, or (n) any other cause, condition or event whatsoever beyond the control of any one or more of the Promotion Parties. Each winner hereby acknowledges that the Promotion Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize or component thereof, including any express or implied warranties provided by any of the prize suppliers associated with this Promotion.
7. CHOICE OF LAW AND JURISDICTION: Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants or winners, Sponsor, and administrator in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New York or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the State of New York. Any action seeking legal or equitable relief arising out of or relating to the Promotion or these Official Rules shall be brought only in the courts of the State of New York. You hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non-conveniens or lack of personal jurisdiction they may have.
8. TAX INFORMATION: All federal, state, local, and other taxes on prizes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the applicable winner. A 1099 tax form (preceded by a W9 Form) will be issued to the Prize winner.
